These terms govern your use of chemlabs.shop and any purchase you make from ChemLabs. Placing an order means you accept them. If you do not, do not order.

We may revise these terms as the business changes. The version in force is the one published here on the day you order, and the date at the top of this page tells you when it last moved.

Everything ChemLabs sells is supplied strictly for in-vitro laboratory research. Our products are not medicines, not dietary supplements, and not cosmetics. They have not been approved by the FDA or any comparable authority for use in humans or animals, and they have not been evaluated for safety or efficacy in a living subject.

They must not be administered to a person or an animal by any route, under any circumstances. That is not a formality we recite for cover. It is the only basis on which we will sell to you.

We publish no dosing, reconstitution, administration, cycling, or protocol guidance, and we will not supply it if asked. Product descriptions state the research context in which a compound is studied. They are not claims of effect, not recommendations, and not an invitation to self-experiment.

To order from us you confirm that you:

• are at least 21 years old;
• are a qualified researcher, or are purchasing on behalf of a research institution, laboratory, or business with a legitimate research purpose;
• have the training and facilities to handle, store, and dispose of research chemicals safely;
• are not acquiring the material for personal, recreational, cosmetic, or any human or veterinary use.

We may refuse or cancel any order at our discretion, and we do refuse them. An order that suggests intended human use will be declined and refunded. We are not obliged to explain a refusal.

You may not:

• administer, consume, inject, or otherwise introduce any product into a human or animal body;
• use any product for diagnosis, treatment, prevention, or mitigation of any condition;
• resell, repackage, or redistribute any product as fit for human or veterinary consumption, or in any way that misrepresents what it is;
• supply any product to a person who you have reason to believe intends any of the above;
• use any product in a manner prohibited by the laws or institutional rules that apply to you.

Breaching this section ends your right to buy from us and voids any protection these terms would otherwise give you.

Once material leaves our facility, how it is handled is in your hands and not in ours. You are responsible for:

• Compliance. Confirming that you may lawfully import, possess, and use the material where you are. Some compounds we list are controlled or restricted in some jurisdictions. Checking that before you order is your job, not ours.
• Competence. Assessing the material’s suitability for your work, and running your own verification if your protocol calls for it.
• Safe handling. Storage, containment, labelling, personal protective equipment, and disposal in line with your institution’s requirements.
• Supervision. Ensuring anyone you give access to is equally qualified and equally bound by these terms.

We have no visibility of, and no control over, what happens after delivery. Because we cannot control it, we do not accept responsibility for it.

Research chemicals carry risk. By ordering you acknowledge that risk and accept it.

You assume full and sole responsibility for any loss, injury, illness, death, property damage, regulatory action, or other harm arising from your possession, handling, storage, use, misuse, or disposal of anything you buy from us — including any use contrary to these terms.

This applies whether the harm is to you, to someone in your organisation, or to a third party, and whether or not the use was one we told you not to make. Misuse is not a defect. If a product is used in a way we expressly prohibit, the consequences of that decision rest with the person who made it.

What we stand behind. We warrant that the material we ship matches the identity, batch, and purity stated on the certificate of analysis published against that listing. If it does not, that is our problem and section 08 tells you what happens.

What we do not. Beyond that, products are supplied as is. To the fullest extent the law allows, we disclaim all other warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We make no representation that a product is safe or effective for any purpose in a living subject, because it has not been tested for one and must not be used in one. A certificate of analysis describes the sample the laboratory received. It is a statement of composition. It is not a safety assessment and must not be read as one.

To the fullest extent permitted by law, ChemLabs is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost data, or lost research, arising out of or connected to your purchase or use of our products.

Our total aggregate liability for any claim is limited to the amount you paid for the specific order giving rise to it. This limit applies however the claim is framed — contract, negligence, strict liability, or otherwise — and applies even if we were told the harm was possible.

Nothing here excludes liability that cannot lawfully be excluded, and some jurisdictions do not allow certain exclusions. Where that is the case, this section applies as far as the law permits and no further.

You agree to indemnify and hold harmless ChemLabs, its officers, employees, and suppliers against any claim, demand, loss, liability, fine, or expense, including reasonable legal fees, arising from:

• your use, misuse, or disposal of any product bought from us;
• any administration of a product to a human or animal, by you or by anyone you supplied;
• your breach of these terms;
• your breach of any law or regulation applicable to your possession or use of the material.

Prices are in US dollars and exclude taxes and duties unless stated. Your payment is authorised at checkout and released to us on confirmed delivery, or five days after tracking shows delivered.

We reserve the right to correct pricing or listing errors and to cancel any affected order with a full refund. Stock figures reflect our records at the time of display and are not a guarantee of availability.

We dispatch within the window stated on the order. Delivery estimates are estimates, not commitments, and we are not liable for carrier delay or for delay caused by customs.

Title and risk pass to you on delivery to the address you gave us. You are the importer of record and responsible for any duties, taxes, and import compliance in your country.

Because these are laboratory materials whose integrity we cannot verify once they have left our control, we do not accept returns of opened or unsealed product.

We refund in full when:

• the order never arrives, or tracking shows it was never shipped;
• the material fails the specification it was sold against, evidenced by an independent assay;
• the batch number on the vial does not match the order or the published certificate;
• what arrives is not what was ordered;
• a temperature-sensitive shipment arrives with its cold chain broken.

Report a problem from the order within 14 days of delivery. We resolve within 72 hours.

We may refuse an order, cancel an order, or close an account at any time, with or without notice, where we believe these terms have been broken or are about to be. Where we cancel an order that you have paid for and you have not broken these terms, we refund it in full.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws rules, and the courts of that state have exclusive jurisdiction over any dispute. If any provision is held unenforceable, the rest stands.
